Terms & Conditions

The following terms are valid for all deliveries, except other conditions are agreed in written form.

Prices

The prices are those given in the current price list. All prices are exclusive of shipping charges and value added taxes (VAT), which will be added to customers from member states of the EEC for the case, that the VAT identification number is not provided. According to the local authorities, prices including VAT are given in a separate price list for Germany. Prices are subject to change without notice.

Payment

30 days net by direct transfer to our bank account as indicated on the invoice. All bank charges are subject of the purchaser. The amount received must be sufficient to cover both the invoiced amount and any bank charges that may be incurred. We reserve the right to request prepayment against proforma invoice for new customers and not established accounts. A late payment interest charge of 4% over the discont of the Deutsche Bundesbank will be added.

Shipment

Shipment of available goods will take place as soon as possible after receipt of the order and the necessary export / import documents. Shipping charges will be prepaid and added to the invoice. Shipments will be despatched on most economical method by express courier depending on volume and destination of the order. Claims for lost or damaged products are the responsibility of the purchaser and must be reported within 10 working days. If the customer establishes that any goods are defective, the seller has the option to replace the defective good with a similar product.

Return

Returns will not be accepted without the prior written consent of emfret Analytics. Returns will only be authorized due to errors attributable to emfret Analytics or where the product does not conform to technical specifications provided by emfret Analytics.

Use & Material Safety

All products are manufactured for research use only. Each product offered by emfret Analytics is intended for use by qualified professionals who will safely handle and dispose of the products they receive. Emfret Analytics is in no way responsible for misuse.

Warranty and Liability

Emfret Analytics warrants that its products shall conform to the description of such product as provided on the emfret Analytics home page, certificate of analysis or other literature, as furnished to the customer for a period of one year from the shipping date -- unless stated otherwise. This warranty is exclusive and emfret Analytics makes no other warranty, expressed or implied, including any implied warranty of merchantability or fitness for any particular purpose. Emfret Analytics's warranties made in connection with any sale shall not be effective if emfret Analytics has determined, in its sole discretion, that the customer has misused the products in any manner or has failed to use the products in accordance with instruction, if any, furnished by emfret Analytics.

Emfret Analytics does not warrant that the use of the products delivered hereunder will not infringe on the claims of any patents covering the product itself or the use thereof in combination with other products or in the operation of any process unless expressly stated.

Emfret Analytics' sole and exclusive liability and customer's exclusive remedy with respect to products proved to emfret Analytics's satisfaction to be defective or nonconforming shall be the replacement of such products without charge, or refund of the purchase price, in emfret Analytics's sole discretion, upon the return of such products in accordance with emfret Analytics' instructions. Emfret Analytics shall not be liable for any incidental, consequential or contingent damages.

Final Stipulations

According to the German Data Protection Law emfret Analytics points out that data of its customers will be stored and processed electronically. If any of the provisions made is invalid or unenforceable in whole or in part, the validity of the remaining provisions and the remainder of the provision in question shall not be affected thereby. Moreover, the provision in question shall be replaced by a lawful stipulation that is as close as possible to what has been the intention of the original provision.
